1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Bhatt Services ("Company," "we," or "us"). By accessing our website, using our Client Portal, or engaging our cognitive consultancy services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must strictly preserve confidentiality of any proprietary information accessed and immediately discontinue use of our services.

2. Services Provided

Bhatt Services provides advanced cognitive automation, AI architecture consultancy, and software development services. We grant you a non-exclusive, non-transferable, revocable license to access our Client Portal solely for the purpose of managing your engagement with us.

3. Intellectual Property Rights

Ownership Details

  • Pre-Existing IP: Bhatt Services retains all ownership of our pre-existing proprietary tools, frameworks, agents, and cognitive architectures ("Bhatt IP").
  • Deliverables: Upon full payment, the specific deliverables created for the Client shall be owned by the Client, subject to a license for Bhatt Services to use background IP embedded therein.
  • Feedback: Any suggestions or feedback provided by the Client regarding Bhatt Services' products are voluntary and may be used by us without restriction or compensation.

4. Confidentiality

Both parties agree to maintain the strict confidentiality of all proprietary information disclosed during the engagement. "Confidential Information" includes, but is not limited to, business strategies, codebases, algorithms, customer lists, and financial data. This obligation survives the termination of these Terms for a period of five (5) years, or indefinitely for trade secrets.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BHATT SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We provide our services on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, regarding the accuracy or reliability of AI-generated outputs.

6. Termination

We reserve the right to suspend or terminate your access to the Client Portal and services immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users of our services, or violates applicable laws.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved via binding arbitration in Bangalore, India.
